The Legal Affairs Manager will act as an advisor for relevant stakeholders to minimize legal liabilities in ongoing cases and prevent future exposure in all operations and agreements.
He/she oversees the legal aspects of CED’s business; guarantee that the company strictly follows legal laws & regulations.


Key Accountabilities

•    Develop and implement legal frameworks for all departments of the organization, including operational procedures and approval mechanisms
•    Evaluate existing forms and templates from a legal perspective
•    Ensure compliance of laws and regulations for all operations in the Company & resolve legal compliance related queries from internal departments, including employee and contractual issues
•    Evaluate feasibility and risk analysis of new projects or expansion plans
•    Handle legal cases related to the organization and providing advisory on resolution process, alternatives and financial liabilities
•    Liaise with external counsel and arbitrators as required on case basis
•    Lead and supervise the legal advisor to make sure that they work efficiently on various cases to be able to resolve different legal issues.
•    Draft, review, negotiate and administer legal and transaction documentation, and all contracts including units’ sales contracts and shareholders agreement.
•    Manage disputes and litigation matters.
•    Represent company in legal proceedings (administrative boards, investment authority, and governments etc.).
•    Participate and provide counsel to the different company departments in all terms of legal issues by maintaining constant and effective relationship with governmental authorities, such as General Authority for Investment and free Zones (GAFI), Egyptian Financial Supervisory Authority (EFSA), etc…
•    Handle and advise on and legalizing all corporate legal matters including but not limited to (Ordinary/Extraordinary General Assemblies, Statutes’ Amendments, Board of Directors’ Meetings, Establishment of new legal Entities, Liquidation of Companies, Capital Increase Process and Management Restructuring).
•    Provide advice on day-to-day Labor legal queries, if any, including investigations, imposition of disciplinary action, recommendation for promotion or termination, and preparation of performance evaluations.
•    Support departments as needed in negotiating contracts, license and service agreements by working with appropriate agencies, associations, and individuals to develop and update model contracts for the various legal issues and categories.
•    Advise on specific focus areas i.e., mergers and acquisitions, finance and corporate governance reports.
•    Provide clarification on legal language or specifications to everyone in the organization.
•    Provide training to the staff members on various legal aspects to develop their skills.
•    Maintain a safe repository of all legal documents including agreements, contracts, MOUs, trademarks, patents and copyrights
•    Provide periodic or case basis progress reports to Management team
•    Inform relevant stakeholders regarding changes in local laws

•    Lead cost-efficient usage of all other applicable other resources to reduce if not eliminate wastages resulting to unnecessary expense.

•    Direct the development and implementation of Departmental policies, systems and processes to ensure that City Edge delivers a world-class service.
•    Ensure compliance with all applicable governmental laws and ministerial policies.
•    Lead and promote continuous optimization of systems and processes without sacrificing the required quality of products and services
•    Set policies for legal processes and related actions with stakeholders.


HSE & Risk Management

•    Direct compliance to all relevant HSE and risk management policies, procedures and controls to ensure that City Edge provides a safe, world class, secure and environmentally responsible service to customers, the public and its own people.
•    Perform continuous Legal risk assessment of ongoing operations and initiatives
•    Provide proactive legal advice on: risk exposure & management, assets & business relationships, mergers & acquisitions, regulatory matters & other transactional matters.

•    Lead and champion opportunities to drive continuous improvement across City Edge as whole in order to achieve the organization’s mission, vision and strategy.
•    Identify and take part in change initiatives, programmes and projects that reflect international best practice and changes in the competitive environment.


Continuous Improvements

People management

•    Organise and supervise the activities and work of legal office to ensure that all work is completed to the required standards and in line with City Edge operating policies and procedures.

Working Conditions

Office based job, may involve moving around within office or building premises. Normal physical effort.

Necessary Experience

•    7-9 years of related experience of which a minimum of 2-3 years in a similar position, preferably in a similar Industry.  
•    Experience in a fast growth environment and a decentralized environment.
•    Experience in working with Executive Management directly
•    Proven work experience in Legal Affairs in either an “in house” or an agency capacity
•    Previous experience in real estate is preferred


Education Requirements

  • Bachelors Degree in Law
  • Post-Graduate degree in Law, and relevant regional certifications, if any
